BY-LAWS of TN PRO LLC

 

 

I.          MEETINGS:

A.        There shall be two (2) stated meetings of the Organization annually. The Executive Committee shall notify the membership of such meetings at least thirty (30) days prior to such meetings.

B.        The Executive Committee may call a Special Meeting of the Organization by notifying each member in writing at least ten (10) days prior to the date of such a meeting.

II.         ELECTION AND TENURE OF OFFICE: Three (3) consecutive years of membership shall qualify any member for election to any Executive Committee position. All officers shall be elected at the second state meeting and shall assume their respective duties immediately. Officers shall be elected by majority vote of quorum present, by secret ballot. Officers may be elected to a maximum of two (2) consecutive one (1) year terms in the same office.

III.        DUTIES OF OFFICERS:

A.   President

1.    To preside at all stated and called meetings.2.    To hollow “Robert’s Rules of Order” as the authority for conduct of official meetings and business.

3.    To appoint permanent committees, as follows:

a.    Membership Committee

b.    Social Activities Committee

c.    Public Relations Committee

d.    Exhibit Committee

e.    Textbook Hearing Schedule Committee

f.     Legislative Committee.

4.    To appoint such temporary committees as deemed advisable for conduct of business.

All permanent committees shall function for a term of one year, corresponding to the tenure of services of elected officers.

B.           Vice-President

1.    To preside over all meetings in the absence of the President.

2.    To chair Membership Committee.

3.    To coordinate activities of standing committees.

C.           Secretary-Treasurer

1.    To make arrangements for and notify members of all stated and called meetings.

2.    To keep a permanent record of the minutes of each meeting, with a record of all permanent and temporary committees, and the Chairperson of each.

3.    To keep a record of membership, collect the dues form all members, and keep a record of same.

4.    To collect and keep an accurate record of all monies paid into the treasury.

5.    To make an annual report at the second stated meeting.

6.    To serve specific instruction, as the membership may require.

D.           Parliamentarian

1.    To serve as the arbiter of all matters pertaining to the parliamentary procedure.

2.    To serve the Executive Committee in the establishment and exercise of an appropriate business agenda for each meeting.

E.           Immediate Past President

1.    To serve and an ex-officio member of the Executive Committee.

2.    To serve, at the behest of the Executive Committee, as a counselor to the committee and to the Organization’s membership.

IV.       DUES: The annual dues shall be determined upon recommendation of the Executive Committee and with two-thirds (2/3) vote of a quorum present.

V.        Only members shall participate in the business segment of the Organizations meetings.

VI.       VOTE: Every member shall have one vote.

VII.      TERMINATION OF MEMBERSHIP:

A.   Serious violations of the Organization’s ethical and/or professional standards may result in “termination of membership” charges.

1.    “Termination of membership” proceedings may be instituted by any member.

2.    Allegations stipulation the specifics of violations shall be presented in writing to any member of the Executive Committee. Within fifteen (15) days, each Organization member shall receive verbatim charges in writing. A special meeting shall be required and shall be called, if the date of a stated meeting is more than forty five (45) days from membership’s receipt of allegations.

3.    Consideration of “termination of membership” charges shall be the only business of the special meeting, or the first order of new business on the stated meeting’s agenda. The matter shall be adjudicated at either the requisite special meeting or stipulated stated meeting.

4.    The accused shall have the privilege of defending himself/herself personally.

5.    Upon a vote of seventy-five percent (75%) of a quorum, by secret ballot, “termination of membership” charges are sustained, and the member, so adjudges, shall be dropped from membership immediately.

6.    A membership, terminated because of serious ethical and/or professional violations, shall not be renewed.

B.   Any member absent from three (3) consecutive stated meeting without satisfactory explanation to a member of the Executive Committee shall be automatically dropped from membership.

C.   Any member failing to pay dues of Organization approved assessments within thirty (30) days following notification of debt from the Secretary shall be automatically dropped from membership.

VIII.     CENSURE OF MEMBER:

            Less serious violations of the Organization’s ethical and/or professional standards may result in “censure” charges.

A.   The same procedure used for termination of membership adjudication proceedings shall be followed in the institution of censure charges.

B.   A majority vote of quorum present, by secret ballot, shall sustain censure charges.

C.   Censure shall result in an admonition to the member, adjudged in violation of ethical and/or professional standards of the Organization that should such violations continue, termination of membership proceedings may materialize.

IX.       REINSTATEMENT OF MEMBERSHIP: Any member dropped from membership may be reinstated in the manner of accepting new members; except, as specified, upon termination of membership due to ethical and/or professional standards.

X.        ASSOCIATE MEMBERSHIP:

            A.        Associate membership shall be granted to any member, in good standing, whose tenure of employment has ended.

      B.  Associate membership provides for the enjoyment of all rights and privileges granted regular  members, except Associate members shall not vote or hold office.

      C.  No dues or assessments shall be collected from Associate Members.

XI.       RETROACTIVE CLAUSE: No change of the Constitution and By-Laws shall be retroactive as to membership or to official action of the Organization.

XII.      AMENDMENTS: The Constitution and By-Laws may be amended at any stated meeting, provided the amendment has been submitted in writing to the membership thirty (30) days prior to said stated meeting.
