CONSTITUTION
OF

PUBLISHER'S REPRESENTATIVE'S ORGANIZATION

OF TENNESSEE

 

ARTICLE:

I.        NAME: The name of this association shall be “Publisher’s Representative’s Organization of Tennessee,” herein referred to as “Organization.” A member is called “P.R.O. of Tennessee.” Membership is called “P.R.O.’s of Tennessee.”

II.        PURPOSES: To foster highest professional and ethical standards in our membership; to provide an effective forum for the resolution of membership problems; and to serve, with maximum effectiveness, companies and representatives uniquely qualified to render distinguished service to education and to educators.

III.        ORGANIZATION:

A.   Officials: The elected officials shall be a President, a Vice-President, and a Secretary-Treasurer. These offices shall constitute the Executive Committee. A Parliamentarian shall be selected by the Executive Committee. The immediate Past President shall serve as a counselor to the Executive Committee and the Organization’s membership.

B.   Quorum: A majority of membership present shall constitute a quorum.

C.   Membership:

1.    Representatives who reside in Tennessee and/or who represent companies whose major interest and concern is state adopted textbooks shall be eligible for membership in the Organization.

2.    Representatives to be eligible for membership must meet one of the following requirements: (a) represent a company with a minimum of five (5) textbooks on the official List of Textbooks as listed by the Tennessee State Textbook Commission, or, (b) represent a company publishing fifteen (15) or more hard-bound textbooks.

3.    A representative shall be defined as one whose primary responsibility in Tennessee is that of a publisher’s representative.

4.    Applicants for membership must present in writing to the Executive Committee or duly appointed Membership Chairperson their names, present addresses, and names of companies represented in Tennessee at least thirty (30) days prior to either stated meeting.

5.    Applicants for membership shall be investigated by the Membership Committee. The Chairperson of the Membership Committee; or a designated member of this committee, shall report to the Organization the eligibility of all applicants for membership.

6.    Applicants must present themselves for membership at the stated meeting of the Organization subsequent to their application.

7.    Applicants shall be admitted to membership by two-thirds (2/3) vote of a quorum present, by secret ballot.
